General terms of sale and payment
1. General
Our General Conditions of Sale and Payment form part of every contract concluded between us and our customers. Conditions of purchase of the buyer that deviate from our conditions of sale are not binding for us. Other conditions require our express written confirmation.
2. Prices
Our prices are in EURO ex works excluding Post & Packaging. The deliveries are calculated at the agreed prices or at the respectively valid sales prices. There is no minimum order value, with each order under 80,00 € however a processing fee of 6,00 € will be charged. Orders received are not cumulated.
3. Delivery and shipping
All goods travel at the expense and risk of the recipient. Deliveries are made as soon as possible, partial deliveries reserved.
Failure to comply with delivery times and delivery dates by us shall not entitle the buyer to withdraw or to claim for damages if the NIT is based on circumstances that are independent of our will. These include delivery delays by strike, business interruption, etc.
4. Complaints
We can only consider complaints of defects if they are brought forward within 8 days after receipt of the goods. However, they do not release from the obligation to pay. Complained goods must be sent to our address carriage paid. Duly complained and justified complaints we will, at our discretion, by discount, exchange, repair of the defective goods or return of the goods against reimbursement of the purchase price. For all replacement deliveries and repairs, the customer has to grant us the required time. If he refuses these, we are exempt from liability for defects.
5. Retention of title
The delivered goods remain our property until full payment of the purchase price and all other claims arising from the business relationship. The buyer is entitled to resell the goods in the ordinary course of business. In this case, the buyer hereby assigns to us the claims arising from the resale and other claims against his customers with all ancillary rights.
6. Terms of payment
First orders only against advance payment, invoice 14 days net. If a direct debit direct debit is granted, we grant a 1% discount. If the target is exceeded, default interest of 5% above the respective base interest rate of the European Central Bank will be charged.
7. Place of fulfillment and jurisdiction
Place of fulfillment and jurisdiction is Wetzlar. All legal relationships between the buyer and the seller are subject exclusively to German law.
8. Pattern protection
Our designs, samples, models and the like are our intellectual property and, even if there are no special property rights, may not be copied or used in any other way for reproduction.
Any violation of this will make the copycat liable for damages.
